By accessing and using this website and/or the TXLLabs software services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily access the materials on TXLLabs' website and use the software services for personal or commercial use. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials or software
• Use the materials or software for any commercial purpose, or for any public display (commercial or non-commercial) without written permission
• Attempt to decompile or reverse engineer any software contained on TXLLabs' website or provided as a service
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials or software to another person or "mirror" the materials on any other server

This license shall automatically terminate if you violate any of these restrictions and may be terminated by TXLLabs at any time.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account or password. You agree to notify TXLLabs immediately of any unauthorized use of your account or any other breach of security.

4. User Conduct

You agree not to use the service to:

• Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable

5. Intellectual Property Rights

All content, features, and functionality of the service, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the exclusive property of TXLLabs or its content suppliers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6. Payment Terms

If you purchase a subscription or license to use our software services:

• You agree to pay all fees associated with your account
• Fees are billed in advance on an annual basis unless otherwise agreed
• All fees are non-refundable except as required by law
• We reserve the right to change our pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account

7. Service Availability

We strive to maintain high availability of our services but do not guarantee that the service will be available at all times. We reserve the right to modify, suspend, or discontinue the service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the service.

8. Data and Privacy

Your use of the service is also governed by our Privacy Policy and Health Privacy Policy. By using the service, you consent to the collection and use of information as described in those policies. You are responsible for ensuring that any data you input into the system complies with applicable laws, including HIPAA.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TXLLABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TXLLABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

11. Indemnification

You agree to indemnify, defend, and hold harmless TXLLabs, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the service or violation of these Terms of Use.

12. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms of Use. Upon termination, your right to use the service will immediately cease.

13. Governing Law

17. Free FOSS Software

TXLLabs offers free FOSS (Free and Open Source Software) solutions to BAA holders and the community. The following terms apply to our FOSS offerings:

17.1. Full Source Code Access

All free FOSS software provided by TXLLabs includes complete source code access. BAA holders receive full source code repositories, allowing you to:

• Review and audit the source code for security and compliance
• Customize and modify the software to meet your specific needs
• Understand exactly how the software operates
• Verify HIPAA compliance and security implementations

17.2. Change Logs for BAA Holders

BAA holders receive comprehensive change logs for all updates, modifications, and security patches. These change logs include:

• Detailed version history and release notes
• Complete commit messages and code changes
• Security advisories and vulnerability disclosures
• Compliance-related updates and modifications

This transparency ensures BAA holders can track all changes and maintain compliance documentation.

17.3. Community Contributions

TXLLabs is committed to giving back to the open source community. Our FOSS software contributions include:

• Active participation in open source projects
• Contributing improvements, bug fixes, and new features
• Maintaining transparency in development processes
• Supporting community-driven development and collaboration

17.4. FOSS License Terms

Our free FOSS software is provided under applicable open source licenses (as specified in each project's license file). By using our FOSS software, you agree to:

• Maintain attribution and copyright notices as required by the license
• Respect the license terms when redistributing or modifying the software
• Understand that FOSS software is provided "AS IS" without warranties

17.5. BAA Holder Benefits

BAA holders receive additional benefits including:

17.6. Release Schedule

Our FOSS products are available in two release tracks:

• Long Term Support (LTS): Extended support releases with security patches and critical bug fixes, typically supported for 3-5 years. Ideal for enterprise deployments requiring stability.
• Quarterly Builds: Regular quarterly releases with the latest features and improvements, pulled directly from the main source repository. Provides access to newest functionality and enhancements.

Both release tracks provide full source code access and are available to BAA holders.

17.7. No Vendor Lock-In

By providing full source code access, TXLLabs ensures that FOSS users are not locked into proprietary solutions. You have full control over the software and can:

• Modify and customize as needed
• Maintain your own version if desired
• Switch to alternative solutions without data loss
• Audit and verify all security and compliance features

17.8. DLP Solution Licensing

The TXLLabs HIPAA DLP Solution is proprietary software and is not open source. It is available in three tiers:

• Standard Tier: Basic DLP features with standard support
• Professional Tier: Advanced features including endpoint protection and cloud monitoring
• Enterprise Tier: Full feature set including source code license for customization and integration

The Enterprise Tier includes a source code license that allows you to review, audit, and customize the DLP solution for your specific needs. This license is provided exclusively to Enterprise Tier customers under the terms of your license agreement. The DLP solution source code remains proprietary and is not available under open source licenses.
